Vizstoria Terms of Service

Welcome to Vizstoria. Vizstoria is a brand and service line operated by Kigen Technologies ("Kigen Technologies", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the Vizstoria website and related pages (the "Site") and any cinematic storytelling and video production services offered under the Vizstoria name (the "Services").

If you do not agree to these Terms, do not use the Site. If you purchase Services, these Terms apply in addition to any proposal, statement of work, order form, or service agreement you and Kigen Technologies enter into for the Services (each, a "Service Agreement"). If there is a conflict, the Service Agreement controls for that project.

For clarity, when you purchase Services you are contracting with Kigen Technologies, not a separate entity named "Vizstoria".

References on the Site to cities or regions describe creative presence, availability, or production capability and do not mean that Vizstoria is a separate legal entity formed in that location or that our principal place of business is in that location.

1. Eligibility and Permitted Use

1.1 Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to form a legally binding contract to use the Site or purchase Services.

1.2 Permitted Use

You may use the Site only for lawful purposes. You agree not to:

  • Violate any applicable laws or regulations.
  • Infringe the intellectual property, privacy, publicity, or other rights of Kigen Technologies or any third party.
  • Attempt to gain unauthorized access to systems or networks connected to the Site.
  • Introduce malware, exploit vulnerabilities, or interfere with the Site.
  • Use the Services to create or distribute deceptive, fraudulent, or harmful content, including deepfakes or synthetic media without explicit consent of the relevant individuals and required rights.

2. Inquiries, Estimates, and Project Booking

2.1 Estimates and Non-Binding Information

Any timelines, pricing ranges, or estimates shown on the Site or provided during initial calls are for informational purposes only and are not binding unless included in a signed Service Agreement.

2.2 Service Agreement Required

We do not begin production work until the parties agree in writing on scope, fees, deliverables, timeline, and any required deposits (as applicable).

3. Client Responsibilities (Rights, Releases, and Cooperation)

You are responsible for ensuring that all materials, instructions, and approvals you provide are accurate and lawful.

You represent and warrant that you own or have all necessary rights, permissions, licenses, and releases for any materials you provide to us (including logos, music, footage, images, scripts, trademarks, and personal data) and for any individuals featured in your project as required by law (including model releases, location releases, and permissions to record).

If you request use of third-party content (e.g., stock footage, music libraries, fonts, plugins), you are responsible for complying with the applicable license terms unless the Service Agreement states we will procure such licenses on your behalf.

4. Fees, Deposits, and Payments

Fees are set out in the Service Agreement. Unless otherwise stated:

  • Deposits are non-refundable once production resources are scheduled or work begins.
  • Late payments may pause work and delivery.
  • You are responsible for any taxes, duties, or similar governmental charges (other than taxes on Kigen Technologies's income).

5. Revisions, Reviews, and Approvals

Any revision rounds, review periods, and approval milestones are described in the Service Agreement. Delays in feedback or approvals may impact delivery dates. Additional work outside scope may require a change order and additional fees.

6. Cancellations, Rescheduling, and Force Majeure

6.1 Cancellations and Rescheduling

Because production requires booking crew, equipment, and locations, cancellations and date changes may result in fees and pass-through costs as set out in the Service Agreement. You are responsible for non-recoverable third-party costs we incur on your behalf.

6.2 Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., severe weather, fire, labor issues, governmental actions, or venue shutdowns). The parties will work in good faith to reschedule or adjust scope.

7. Intellectual Property and Deliverables

7.1 Site Content

The Site and its content (excluding your materials) are owned by Kigen Technologies or its licensors and are protected by intellectual property laws.

7.2 Your Materials

You retain ownership of the materials you provide ("Client Materials"). You grant Kigen Technologies a limited license to use Client Materials solely to perform and deliver the Services.

7.3 Deliverables

Ownership and licensing of deliverables (including project files, source files, and final exports) are governed by the Service Agreement. Unless the Service Agreement states otherwise, upon full payment we grant you a license to use final deliverables for your internal business and marketing purposes. Pre-existing tools, templates, techniques, and third-party materials remain with their respective owners and may be licensed to you under separate terms.

7.4 Portfolio and Credits

Unless prohibited by a written NDA or otherwise stated in the Service Agreement, Kigen Technologies may reference your name and display excerpts or stills from the final deliverables in our portfolio and marketing after the deliverables are publicly released by you.

8. Confidentiality

If the parties enter into an NDA, it will govern confidentiality. Otherwise, you agree not to share non-public proposals, pricing, or production plans we provide except with your professional advisers and team members who need to know and are bound by confidentiality obligations.

9. Third-Party Services and Links

The Site may link to or embed third-party services (e.g., video hosting, analytics, social media). Your use of third-party services is subject to their terms and privacy policies. Kigen Technologies is not responsible for third-party services.

10. Privacy

Your use of the Site and Services is subject to our Privacy Policy. By using the Site, you consent to the collection and use of information as described in that policy.

11. Disclaimers

To the maximum extent permitted by law, the Site and Services are provided "as is" and "as available" without warranties of any kind. We do not guarantee any specific business outcome or results from creative work.

12. Limitation of Liability

To the maximum extent permitted by law, Kigen Technologies and its affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to the Site or Services. Our total liability for all claims will not exceed the fees paid by you for the Services in the preceding 12 months.

13. Indemnification

You agree to indemnify and hold harmless Kigen Technologies, its officers, directors, employees, and affiliates from claims, damages, and expenses (including legal fees) arising from:

  • Your Client Materials or instructions.
  • Your misuse of the Site or Services.
  • Your breach of these Terms.
  • Your violation of third-party rights (including IP, privacy, publicity, and required releases).

14. Termination

We may suspend or terminate access to the Site if you violate these Terms. Termination of Site access does not automatically terminate a Service Agreement, which will be governed by its own terms.

15. Changes to These Terms

We may update these Terms from time to time. We will post updates on the Site and, if changes are material, we may provide additional notice. Continued use after changes take effect means you accept the updated Terms.

16. Governing Law

These Terms are governed by the laws of Malta, without regard to conflict of law principles. Any disputes will be resolved in the courts of Malta.
